Chapter 1 General Rules
Article 1 (Purpose)
The purpose of these Terms and Conditions is to outline the conditions and procedures for use, along with other necessary matters, for the “Open DART Service” (hereinafter referred to as the “Service”) operated by the Financial Supervisory Service.
Article 2 [The Effect of the Terms and Conditions]
These Terms and Conditions take effect upon being posted on the Open DART website (http://engopendart.fss.or.kr) opening screen, or by being communicated to members through other means such as email.
Article 3 [The Posting and Modification of the Terms and Conditions]
① These Terms and Conditions shall be posted on the FSS’s Open DART website (http://engopendart.fss.or.kr).
② The FSS may amend these Terms and Conditions as needed. In such cases, it shall post the major details of the amendment and the amended Terms and Conditions on the opening screen. The modified Terms and Conditions shall take effect in accordance with Article 2.
③ Responsibility for any damages resulting from the failure to confirm changes to the terms and conditions lies with the user.
Article 4 [Definition of Terms]
The definition of terms used in these Terms and Conditions are as follows:
1. The term “Service” means any services provided to users through the Open DART website (http://engopendart.fss.or.kr) (hereinafter referred to as the “Website”) and all related incidental services.
2. The "Member" refers to a "user" who has entered into a service use agreement with the FSS, has been given an "authentication key," and uses the services provided by the FSS.
3. The term “Password” means a combination of letters or numbers a Member personally set for confirmation that the Member is the same member using the ID it applied with to join, and for the protection of confidential information.
4. The “Authentication Key” means a unique value individually granted by the FSS to each Member, identifying them as the individual or corporation authorized to use the disclosure information Open API service.
5. The term “Open API” is an acronym of “Open Application Programming Interface,” and refers to a protocol defined for information owners to provide information to information users.
Article 5 [Additional Rules Beyond the Terms and Conditions]
If matters not specified in these Terms and Conditions are covered by related laws such as the Act on the Provision and Use of Public Data (hereinafter the “Public Data Act”) and the Personal Information Protection Act, those provisions shall apply.
Chapter 2 Membership Registration
Article 6 [Establishment of a Service Contract]
① A contract for the use of the Services (hereinafter referred to as a “Service Contract”) shall be established upon the FSS’s acceptance of the Member’s application to use the Services.
② A person seeking to create an account and use the Service must provide the information requested by the FSS.
③ Upon the FSS's provision of the Services (when a user becomes a Member) according to its prescribed standards, the FSS shall notify the Member of the following matters:
    1. Service use start date;
    2. Authentication Key required for using the Open API Service; and
    3. Other matters deemed necessary for use of Services.
Article 7 [Application to Use the Services]
① A person seeking to use the Services must accurately and truthfully enter the following information into the online application form provided by the FSS:
    1. Application type (individual/corporation);
    2. Email address;
    3. Password;
    4. Open API usage environment, purpose, confirmation URL, etc.;
    5. Corporate information (applicable only for corporate applications, including company name, LEI code, nation number, contact information for the designated contact person, website address, requesting system IP, business registration, etc.); and
    6. Any other information deemed necessary by the FSS.
② An applicant must consent to these Terms and Conditions to register as a Member.
Article 8 [Acceptance of Application]
① Where an applicant accurately enters all the information provided for in Article 7 and consents to these Terms and Conditions to apply, the FSS shall in principle accept the application for the use of the Services.
② The FSS may refuse to accept any application to which any of the following applies:
    1. The user previously lost its membership qualification under these Terms and Conditions;
    2. The application lists false information, or fails to list details requested by the FSS; or
    3. Approval is impossible due to reasons attributable to the user, or if the user's membership would significantly interfere with the FSS's duties.
③ The FSS may defer acceptance if there is insufficient capacity in Service-related facilities or is experiencing technical or operational issues.
④ The FSS shall notify the user if acceptance of an application is refused or deferred pursuant to Paragraph 2 or 3, unless notification to the applicant is impossible due to reasons beyond the FSS's control.
⑤ The Service Contract is established upon the FSS’s acceptance reaching the applicant.
Chapter 3 Use of the Service
Article 9 [Service Availability]
The Services are immediately available from the time the FSS accepts a membership application pursuant to Article 8, unless availability does not immediately commence due to FSS’s operational or technical difficulties.
Article 10 [Use of Services]
① The Services shall generally be accessible at any time throughout the year, 24 hours a day, unless the FSS is experiencing significnant operational or technical difficulties.
② The availability times stated in Paragraph 1 shall not apply to any day or time slot designated by the FSS for regularly scheduled maintenance or other needs.
③ The FSS may set specific hours of availability for some of the Services it provides, in which case it shall give public notice of the relevant matters to Members through the Website.
④ The Open API Service has usage limits, which shall be posted on the Website.
⑤ The FSS may modify the allowed limit under Paragraph 4, in which case it shall post the details in advance on the Website or notify Members.
⑥ Notwithstanding Paragraph 4, the FSS may restrict the use of Services if any Member interferes with the operation of Services through excessive network access to the Services, illegal hacking attempts, or other means.
Article 11 [Service Fees]
① The Services provided by the FSS are free in principle; provided that the FSS may charge for certain Services if necessary in consideration of circumstances such as the costs of Service provision, in which case it shall give Members advance notice of the details.
② The notice pursuant to Paragraph 1 may be provided by posting to the Website.
Article 12 [The Addition and Modification of Services]
The FSS may add or modify Services as necessary, and shall post details of such additions or modifications on the Website.
Article 13 [Suspension of Services]
① The FSS may temporarily suspend the provision of Services in the following circumstances:
    1. When suspension is unavoidable for facilities repairs, etc.;
    2. When any normal Services cannot be provided for technical reasons; or
    3. Any other cause arises preventing the FSS from providing the Service.
② If Service suspension under Paragraph 1 is necessary, it may proceed after a one-week advance notice through methods such as email or posting on the Website. The FSS shall not be held liable if a Member fails to receive or be aware of the notice during this period.
③ The advance notice period under Paragraph 2 may be reduced or omitted due to unavoidable circumstances.
④ The FSS bears no liability whatsoever to the Member or any third party for a suspension of Services pursuant to Paragraph 1.
⑤ If Services must be permanently discontinued for causes due to circumstances such as those of the FSS, such cessation shall be pursuant to Paragraphs 1 to 4, except the advance notice period shall be one month.
Article 14 [The Provision of Information]
During Service operation, the FSS may provide information to Members through methods such as posting on the relevant Service screen.
Article 15 [Notice to Member]
① The FSS may notify the Member using the email address submitted to the FSS by the Member.
② The FSS may give general notice to unspecified Members by posting details on the Website, replacing individual notices.
Article 16 [Copyright]
① The FSS holds the copyright to the Open API Service it provides and to the relevant software.
② The Member holds copyright to its posts to the Services, and the FSS is authorized to use such posts, including FAQ postings and other content.
③ The Member shall bear full civil and criminal liability for any infringement of another person’s copyright, software copyright, etc., resulting from content posted on the Services.
④ Copyright matters not specified in these Terms and Conditions shall be in compliance with the Copyright Act and the Public Data Act.
Chapter 4 Obligations
Article 17 [Service Provider Obligations]
① In the absence of special circumstances, the FSS shall make the Services available to the Member on the planned Service start date.
② The FSS is obligated to provide the Services on a continuous and stable basis as provided for in these Terms and Conditions.
③ The FSS may not leak or distribute the Member’s personally identifiable information to any other person without the Member’s consent.
④ The FSS may use the Member’s information only for the purpose of operating Services, and may not provide the Member’s information to any third party without the Member’s consent, with the following exceptions:
    1. Non-identifiable information is used for the purpose of preparing statistical data, inclusion in promotion materials, or academic research; or
    2. In cases where there are specific provisions in relevant regulations
⑤ The Member may peruse, correct, or request the deletion of its information at any time, which request the FSS shall process immediately on receipt.
Article 18 [Protection of Member Personal Information]
The FSS shall make efforts to protect the Member’s personal information consistent with applicable law. The Member’s personal information shall be protected pursuant to applicable law and the Privacy Policy enacted by the FSS.
Article 19 [Member Obligations]
① The identification (ID) of the Member of these Services is the email address entered when applying to create an account. The member shall log in using the ID and Password when using Services that require a login.
② The Member shall not cause any third party to use its ID, Password, or Authentication Key.
③ The Member shall be liable for losses caused by inadequate management, negligence in use, the use by third parties, etc. of the ID, Password, or Authentication Key.
④ The Member, on becoming aware that its ID, Password, or Authentication Key was stolen or is in use by any third party, shall notify the FSS immediately, and shall follow any direction the FSS may give.
⑤ No Member may be issued two or more IDs or Authentication Keys.
⑥ If any Member information entered at the time of applying for an account changes afterward, the Member shall modify such information through the Website.
⑦ The Member shall comply with matters provided for in these Terms and Conditions or in applicable law.
Chapter 5 Termination of Services and Restrictions on Use
Article 20 [Contract Termination and Restrictions on Use]
① If the Member seeks to terminate its use of the Services before term, it may personally delete its membership account through the account deletion menu on the Website. The FSS is obligated to promptly process the Member’s account deletion request.
② The FSS may terminate the Service Contract without advance notice or cease the provision of the Services to the Member in a given period if the Member engages in any of the following:
    1. Usage in bad faith, or refusal of the FSS’s justified request;
    2. Violation of public order and good morals;
    3. Association with criminal activity;
    4. Planning or execution of Service usage with the purpose of interfering with the national or public interest;
    5. Theft of another person’s Service ID, Password, or Authentication Key;
    6. Intentional leakage of the Member’s own service password or authentication key;
    7. Libel or disadvantage to another person;
    8. Pecuniary loss to another person; or
    9. Any other violation of applicable law or the terms of use prescribed by the FSS.
③ If the FSS confirms that the cause of the cessation of use is resolved during the cessation period, it shall immediately lift the cessation measure.
④ If the Member intentionally misuses or abuses the Services and causes loss to the FSS, the FSS may make a claim for damages in addition to the termination of the Service Contract pursuant to these Terms and Conditions.
Article 21 [Procedure for Usage Restriction]
① If the FSS seeks to restrict usage pursuant to Article 20, it shall give notice to the Member by email specifying the cause, date, time, and period, unless the FSS deems it urgent to cease the use of Services by the Member.
② Upon receiving the notice of usage cessation under Paragraph 1, the Member may raise any objection to the notice of usage cessation by email or telephone.
③ The FSS may temporarily postpone the cessation of usage until a decision is made on the objection raised pursuant to Paragraph 2, and shall notify the Member of the result.
Article 22 [Member Posting]
① The FSS may delete the Member’s content posted or recorded to the Service without advance notice if any of the following is deemed to apply to such content:
    1. It defames another Member or a third party by slander or conspiracy;
    2. Violation of public order and good morals;
    3. It is deemed to be connected to criminal activity;
    4. It may cause loss to another person for the Member’s economic gain;
    5. It violates any third party’s copyright or any other right; or
    6. It otherwise violates applicable law or FSS regulation.
② Any liability for damage or loss caused by the deletion pursuant to Paragraph 1 shall be borne by the posting Member.
Chapter 6 Indemnity
Article 23 (Indemnity)
① The disclosure information provided through the Services were prepared under the responsibility of the disclosing person, and the FSS does not guarantee its accuracy or completeness.
② The FSS bears no liability whatsoever in any case for the results, including gains and losses, of the Member’s use of the information provided through the Services.
③ The FSS bears no liability whatsoever for any transaction, etc., undertaken between Members or between a Member and a third party mediated through the Services; nor is it liable for any gains anticipated by the Member in connection to its use of the Services.
④ The FSS bears no liability for the result of any use of Services that fails to comply with these Terms and Conditions, any FSS regulation, usage guidelines, or applicable law.
Article 24 (Dispute Resolution and Competent Court)
① The FSS and the Member shall mutually cooperate for the amicable resolution of any dispute arising in connection with the Services.
② If litigation is brought over any dispute between the FSS and a Member in connection to the Services provided by the FSS, the court with jurisdiction over the FSS’s head office shall have jurisdiction over such litigation.
[ Addenda ]
These Terms and Conditions shall enter into effect on January 21, 2020.
